Smartcode provides barcode scanning and warehouse management software solutions, including:
- Smartcode App (Android mobile application)
- Smartcode Print (Windows desktop application)
- Smartcode WMS (Warehouse Management System)
- Pickscan and Returns Flow (Linnworks integrations)
- Pickscan (Shopify integration)
- Pickscan (WooCommerce integration)
3. Account Registration
To use certain features of our Services, you must register for an account. You agree to:
- Provide accurate and complete registration information
- Maintain the security of your account credentials
- Promptly update any changes to your information
- Accept responsibility for all activities under your account
4. Subscription and Payment
Fees
Certain Services require payment of fees. Current pricing is available on our website or upon request. All fees are quoted in GBP unless otherwise stated.
Billing
Subscriptions are billed monthly or annually in advance. You authorise us to charge your chosen payment method for all applicable fees.
Cancellation
You may cancel your subscription at any time. Cancellation takes effect at the end of the current billing period. No refunds are provided for partial billing periods.
5. Acceptable Use
You agree not to:

- Attempt to gain unauthorised access to our systems
- Interfere with or disrupt the Services
- Reverse engineer or decompile our software
- Resell or redistribute the Services without authorisation

Your use of the Services is also governed by our Privacy Policy. You retain ownership of your data. You grant us a licence to use your data solely to provide the Services.
8. Third-Party Integrations
Our Services integrate with third-party platforms (Linnworks, Shopify, etc.). Your use of these integrations is subject to the respective third party's terms and conditions. We are not responsible for third-party services.
9. Disclaimer of Warranties
THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR COMPLETELY SECURE.
10. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, SMARTCODE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITIES.
Our total liability for any claims arising from or related to the Services shall not exceed the amount you paid us in the 12 months preceding the claim.
11. Indemnification
You agree to indemnify and hold Smartcode harmless from any claims, damages, or expenses arising from your use of the Services or violation of these Terms.
12. Modifications
We reserve the right to modify these Terms at any time. We will notify you of material changes via email or through the Services. Continued use after changes constitutes acceptance.
13. Termination
We may suspend or terminate your access to the Services for violation of these Terms or for any other reason at our discretion. Upon termination, your right to use the Services ceases immediately.
14. Governing Law
These Terms are governed by the laws of England and Wales. Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.
